3. User obligations and responsibilities

Where you request us to film or edit content involving sensitive locations, minors, vulnerable persons, branded products, music, archival footage, or regulated activities, you must disclose this in advance and secure all necessary approvals and rights.
4. Payment terms and conditions
Fees, expenses, deposits, and payment milestones will be stated in the relevant quotation or agreement. Unless otherwise agreed in writing:
- A non-refundable deposit may be required before work commences;
- Work may be paused or suspended if payment is not received by the due date;
- All invoices are payable in the currency specified on the invoice;
- Any quoted fees exclude applicable taxes, third-party costs, location fees, talent fees, music licensing, stock footage, travel, accommodation, equipment hire, and other production expenses unless expressly included;
- You must pay any undisputed invoice in full by the stated due date;
- We may charge interest on late payments at the maximum rate permitted by law, together with reasonable recovery costs;

If the scope of work changes due to client requests, revisions beyond the agreed number, delays caused by the client, or additional production requirements, Northbridge Film Productions Ltd may issue a revised quotation or charge additional fees on a time-and-materials basis.
5. Cancellation and refund policy
Cancellation requests must be made in writing. Because production work often involves upfront planning, booking, and irreversible commitments, the following applies unless the relevant agreement states otherwise:
- Deposits are generally non-refundable;
- If you cancel before work begins, any refundable amount will be determined after deducting costs already incurred, third-party commitments, and reasonable administrative charges;
- If you cancel after production has commenced, you remain liable for all work completed, costs incurred, booked resources, and committed third-party expenses up to the cancellation date;
- If filming, crew, equipment, or locations have been booked and cannot be cancelled without charge, those charges will be passed on to you;
- Refunds, if any, will be made only in accordance with the relevant agreement and within a reasonable time after final reconciliation of costs.
Northbridge Film Productions Ltd may cancel or suspend a project if you fail to cooperate, fail to pay, provide unlawful instructions, or materially breach these Terms of Service. In such cases, amounts due for work performed and costs incurred remain payable.
6. Liability limitations
To the fullest extent permitted by applicable law, Northbridge Film Productions Ltd shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive losses or damages, including loss of profit, loss of revenue, loss of business, loss of opportunity, reputational harm, or loss of data, arising out of or in connection with our services or these Terms of Service.
Our total aggregate liability arising out of or in connection with any project, whether in contract, tort, negligence, misrepresentation, breach of statutory duty, or otherwise, shall be limited to the total fees paid by you to Northbridge Film Productions Ltd for the specific services giving rise to the claim.
Nothing in these Terms of Service limits or excludes liability to the extent such limitation or exclusion is prohibited by law, including liability for fraud or any other liability that cannot lawfully be limited or excluded.
We do not guarantee that any creative concept, campaign, or finished content will achieve a particular commercial, marketing, broadcast, platform, or audience outcome.
7. Intellectual property rights
Unless otherwise agreed in writing:
- All pre-existing intellectual property, methodologies, templates, workflows, tools, and know-how of Northbridge Film Productions Ltd remain our property;
- Any client-supplied materials remain the property of the client or relevant rights holder;
- Upon full payment of all amounts due, we grant you the rights expressly stated in the relevant agreement for the final deliverables;
- We retain the right to use non-confidential excerpts, stills, clips, behind-the-scenes content, and project summaries for our portfolio, showreel, website, social media, awards submissions, and promotional purposes unless you request otherwise in writing and we agree to such restriction;
- No ownership of raw footage, project files, edit timelines, project assets, or working files transfers to you unless specifically agreed in writing.
You warrant that any materials you provide to us may be used in the project and that such use does not infringe third-party intellectual property rights, privacy rights, or publicity rights. If music, stock footage, archive material, fonts, or other licensed content are used, the applicable licence terms may impose restrictions on use, duration, territory, platform, or media.
8. Data protection and privacy
Northbridge Film Productions Ltd may collect, store, and process personal data in connection with enquiries, project management, production logistics, invoicing, and client communications. We will handle personal data in accordance with applicable data protection and privacy laws and our operational requirements.
Where we process personal data on your instructions, you agree to provide all required notices, permissions, and lawful bases for such processing. You further acknowledge that filming may capture personal data, likenesses, voices, and identifiable information of cast, crew, participants, or members of the public.
You are responsible for obtaining any necessary consent from individuals appearing in, contributing to, or otherwise involved in your production where such consent is required. We may rely on signed releases, location permissions, attendance at filmed events, and other customary production documentation.

9. Force majeure
Northbridge Film Productions Ltd shall not be liable for any delay or failure to perform its obligations where such delay or failure is caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, storm, pandemic, epidemic, war, terrorism, civil unrest, labour disputes, power failure, equipment failure not caused by our wilful misconduct, transport disruption, government action, permitting delays, venue closure, or failure of third-party suppliers.
In such circumstances, we may reschedule services, amend the production plan, substitute personnel or equipment, or suspend performance until the event has passed. Any additional costs arising from force majeure events may be payable by you where reasonable and properly incurred.
10. Changes to terms
Northbridge Film Productions Ltd may update or modify these Terms of Service from time to time. The updated terms will apply from the date they are posted, issued, or otherwise communicated to you, unless a different effective date is specified.
Where you continue to use our services after notice of a change, you will be deemed to have accepted the revised terms. For ongoing projects, any change will apply only to the extent permitted by law and consistent with the relevant project agreement.
11. Applicable law and jurisdiction
These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or formation shall be governed by and construed in accordance with the laws applicable to the jurisdiction in which Northbridge Film Productions Ltd is established and operates, unless otherwise required by mandatory law or expressly agreed in writing.
Subject to any mandatory legal requirements, the courts of that applicable jurisdiction shall have exclusive jurisdiction to settle any dispute or claim arising from or relating to these Terms of Service.

13. Severability clause
